These Terms of Use ("Terms") govern your access to and use of the website at apptomiclabs.com and any related pages (the "Site"), operated by Apptomic Labs LLC ("Apptomic Labs," "we," "us," or "our").

1. Acceptance of these terms

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site. If you use the Site on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.

2. Our services and client agreements

Apptomic Labs provides software development services, including the design, development and maintenance of mobile applications, web applications and business process automation solutions, technical consulting, and the development of proprietary software products. The Site describes these services for general informational purposes only.

Nothing on the Site is an offer or a binding commitment. Any engagement for services is governed by a separate written agreement, such as a master services agreement, statement of work or proposal signed by both parties. If there is a conflict between these Terms and a signed client agreement, the client agreement controls for that engagement. Use of any of our proprietary software products may be subject to additional terms presented with that product.

3. Permitted use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable law or regulation.
• Attempt to gain unauthorized access to the Site, its servers or any connected systems.
• Interfere with or disrupt the Site, including by introducing malware or overloading our infrastructure.
• Use automated means, such as bots or scrapers, to access the Site in a way that burdens it or to collect information for spam.
• Impersonate any person or misrepresent your affiliation with any person or organization.
• Send unsolicited advertising or spam through our contact channels.

4. Intellectual property

The Site and its content, including text, graphics, logos, designs, code and the Apptomic Labs name and marks, are owned by Apptomic Labs LLC or its licensors and are protected by copyright, trademark and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to view the Site for your personal or internal business purposes. You may not copy, modify, distribute, sell or create derivative works from the Site content without our prior written permission.

Ownership of deliverables created for clients is defined in the applicable client agreement, not in these Terms.

5. Information you submit

When you contact us or submit project details, you represent that the information is accurate and that you have the right to share it. We will treat the information you send as described in our Privacy Policy. Please do not send confidential or sensitive information through the Site before a confidentiality agreement is in place. If you send us ideas or feedback about our Site or services, we may use them without obligation to you.

6. Third-party links and services

The Site may contain links to websites or services operated by third parties. We do not control and are not responsible for their content, policies or practices. Your use of third-party sites is at your own risk and subject to their terms.

7. Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, OR THAT ITS CONTENT IS COMPLETE OR CURRENT.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, APPTOMIC LABS LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify and hold harmless Apptomic Labs LLC and its members, managers, employees and contractors from any claims, damages, losses and expenses, including reasonable attorneys' fees, arising from your misuse of the Site or your violation of these Terms.

10. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in the State of Wyoming, and you consent to the personal jurisdiction of those courts. Before filing a claim, you agree to contact us and try to resolve the dispute informally for at least 30 days.

11. Changes to these terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Your continued use of the Site after changes take effect means you accept the revised Terms.

12. General terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right is not a waiver of that right. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Site. You may not assign these Terms without our consent; we may assign them in connection with a business transfer.
